These Terms and Conditions (the "Terms") govern your access to and use of the website located at midastech.org, including any content, functionality, and services offered on or through it (collectively, the "Site"), operated by Midas Technologies, LLC ("Midas Technologies," "we," "us," or "our").
By accessing or using the Site in any manner, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you do not agree to these Terms, you must not access or use the Site.

Master Services Agreements & Statements of Work Supersede
These Terms govern your use of the Site only. They do not govern the delivery, terms, scope, pricing, warranties, service levels, intellectual property assignment, confidentiality, or any other aspect of paid engagements with Midas Technologies.
Project engagements are governed by an MSA and a Statement of Work — not by this website.
All Midas Technologies project deliveries, professional services, AI integration work, cloud migration, modernization engagements, and staff augmentation deploymentsare governed exclusively by a separately executed Master Services Agreement ("MSA") and one or more accompanying Statements of Work ("SOWs"), each signed by authorized representatives of both parties.
In the event of any conflict between these Terms and a fully executed MSA or SOW, the MSA and SOW control with respect to the subject matter of the engagement.
3.1 What MSAs and SOWs Cover
Matters governed exclusively by an executed MSA and SOW include, without limitation:
- Scope of work, deliverables, and acceptance criteria
- Pricing, payment terms, expenses, and invoicing
- Project timelines, milestones, and schedule commitments
- Service level agreements ("SLAs"), performance standards, and remedies
- Warranties, representations, and disclaimers specific to the engagement
- Liability allocation, indemnification, and limits of liability between the parties
- Intellectual property ownership and license terms for deliverables
- Confidentiality, data handling, security, and information classification
- Personnel terms, including for staff augmentation deployments — placement of consultants, conduct, supervision, conversion rights, and removal
- Insurance coverage requirements
- Termination rights and post-termination obligations
- Compliance with applicable regulatory frameworks (HIPAA, SOC 2, ITAR, and similar)
If you have not executed an MSA and SOW with Midas Technologies, no obligation to perform services, no service level commitment, no warranty, and no other engagement-specific obligation exists between you and us, regardless of any content on this Site.
Intellectual Property
The Site and all of its content — including but not limited to text, copy, headlines, graphics, illustrations, logos, icons, photographs, video, audio, software, code, design, layout, look-and-feel, organization, compilation of content, and the "Midas Technologies" name and brand (collectively, the "Site Content") — are the sole and exclusive property of Midas Technologies or its licensors. The Site Content is protected by United States and international copyright, trademark, trade dress, patent, and other intellectual property and proprietary rights laws.
4.1 Limited License
Subject to your compliance with these Terms, Midas Technologies grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and view the Site for your personal or internal business evaluation purposes only.
This license does not include any right to reproduce, modify, distribute, publish, transmit, display, perform, sell, license, create derivative works of, or otherwise exploit the Site Content, in whole or in part, for any commercial purpose.
4.2 Trademarks
"Midas Technologies," the Midas Technologies logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Midas Technologies, LLC. You may not use such marks without the prior written permission of Midas Technologies. All other names, logos, product and service names, designs, and slogans on the Site are the trademarks of their respective owners.
4.3 Feedback
If you submit comments, suggestions, ideas, or other feedback regarding the Site or our services through the Site (collectively, "Feedback"), you grant Midas Technologies a perpetual, irrevocable, royalty-free, worldwide license to use, reproduce, modify, and incorporate such Feedback into our services and operations without compensation or attribution. You represent that any Feedback you provide is your own and does not infringe the rights of any third party.
Permitted & Prohibited Use
You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to use the Site:

Disclaimer of Warranties
The following disclaimer applies to your use of the Site only. Warranties applicable to project engagements are addressed in the applicable MSA and SOW, as described in Section 3.
Without limiting the foregoing, Midas Technologies does not warrant that:
- The Site will be uninterrupted, timely, secure, or error-free
- The information, content, or materials on the Site are accurate, complete, reliable, current, or free of typographical errors
- The Site or the servers that make it available are free of viruses or other harmful components
- Any defects in the Site will be corrected
- The results obtained from use of the Site will meet your requirements or expectations
Some jurisdictions do not allow the disclaimer of certain warranties, so portions of these disclaimers may not apply to you. Where this is the case, the disclaimers apply to the maximum extent permitted under applicable law.
Limitation of Liability
The following limitation applies to your use of the Site only. Liability allocation for project engagements is addressed in the applicable MSA and SOW, as described in Section 3.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the limitations above may not apply to you. Where this is the case, our liability is limited to the maximum extent permitted under applicable law.
Indemnification
You agree to defend, indemnify, and hold harmless Midas Technologies, its affiliates, and their respective officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms; (b) your use of the Site, including any data or content transmitted or received by you; or (c) your violation of any rights of any third party.
Governing Law & Disputes
10.1 Governing Law
These Terms and any dispute arising out of or relating to these Terms or your use of the Site shall be governed by and construed in accordance with the laws of the State of Texas, United States of America, without giving effect to any choice or conflict of law provision or rule that would cause the application of the laws of any other jurisdiction.
10.2 Venue
Any legal suit, action, or proceeding arising out of or related to these Terms or the Site shall be instituted exclusively in the federal or state courts located in Dallas County, Texas. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
10.3 Informal Resolution
Before initiating any formal legal proceeding, the parties agree to attempt in good faith to resolve any dispute through informal negotiation. Either party may initiate this process by providing written notice of the dispute to the other party, and the parties agree to engage in such informal resolution efforts for a period of at least thirty (30) days before pursuing formal legal action.
10.4 Class Action Waiver
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than in arbitration, each party waives any right to a jury trial.
Modifications
Midas Technologies reserves the right, in its sole discretion, to modify, amend, supplement, or replace these Terms at any time and without prior notice. When we make material changes, we will update the "Last Updated" date at the top of these Terms and, where appropriate, provide additional notice through the Site or by other reasonable means.
Your continued access to or use of the Site after any such modification constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Site.
We also reserve the right, at any time and without notice, to modify, suspend, or discontinue the Site or any portion of it, with or without cause. We will not be liable to you or to any third party for any modification, suspension, or discontinuance of the Site.
General Provisions
12.1 Entire Agreement
These Terms, together with our Privacy Policy and any other legal notices and agreements published by Midas Technologies on the Site, constitute the entire agreement between you and Midas Technologies concerning your use of the Site and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written, with respect to the Site. Engagement-specific terms remain governed by the applicable MSA and SOW as described in Section 3.
12.2 Severability
If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or if not possible, severed from these Terms. The remaining provisions of these Terms shall continue in full force and effect.
12.3 No Waiver
No waiver by Midas Technologies of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure by Midas Technologies to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
12.4 Assignment
You may not assign, transfer, or sublicense any of your rights or obligations under these Terms without our prior written consent. Midas Technologies may assign, transfer, or delegate any of its rights and obligations under these Terms without consent. Any attempted assignment in violation of this section shall be null and void.
12.5 No Agency or Employment Relationship
Nothing in these Terms or in your use of the Site creates any partnership, joint venture, agency, franchise, sales representative, or employment relationship between you and Midas Technologies. You have no authority to make or accept any offers or representations on our behalf.
12.6 Force Majeure
Midas Technologies shall not be liable for any failure or delay in performance under these Terms resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government action, labor disputes, internet or telecommunications failures, cyber attacks, or pandemic.
12.7 Headings
The section headings used in these Terms are for convenience and reference only and have no legal or contractual effect.
